1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the website located at bixzat.pro and any related services, communications, deliverables, or materials provided by Ridge Advisory Inc. (the “Company”, “we”, “us”, or “our”).
By accessing our website, engaging our services, or otherwise using any materials provided by Ridge Advisory Inc., you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our website or services.

Ridge Advisory Inc. provides consulting services, which may include advisory support, strategic guidance, operational recommendations, research, analysis, reporting, planning, and related professional services as agreed in writing between the parties.
- Services may be delivered remotely, in person, or through electronic communications.
- Any specific project scope, milestones, deliverables, timelines, and fees will be set out in a proposal, statement of work, engagement letter, invoice, or other written agreement.
- We may modify, suspend, or discontinue any portion of our services at our discretion, subject to any written agreement in force.
- We do not guarantee any particular business, financial, regulatory, or operational outcome from the use of our consulting services.
3. User Obligations and Responsibilities
When using our services, you agree to:
- Provide accurate, complete, and current information at all times.
- Cooperate in good faith and respond promptly to reasonable requests for information or approvals.
- Ensure that any materials, data, or instructions you provide do not infringe the rights of any third party and do not violate applicable law.
- Use our website and services only for lawful purposes and in a manner consistent with these Terms.
- Maintain the confidentiality of any credentials, access details, or restricted materials provided to you.
- Not misuse, reverse engineer, disrupt, or attempt unauthorized access to our systems, content, or services.
You are solely responsible for decisions made or actions taken based on consulting advice, recommendations, or materials provided by Ridge Advisory Inc. You should seek independent legal, tax, accounting, financial, or other professional advice where appropriate.
4. Payment Terms and Conditions
Fees for services will be as stated in the applicable proposal, statement of work, invoice, or engagement agreement. Unless otherwise agreed in writing:
- All fees are quoted in Canadian dollars (CAD) unless stated otherwise.
- Invoices are payable within the timeframe specified on the invoice or, if not stated, within 15 days of the invoice date.
- Amounts unpaid when due may be subject to interest at the maximum rate permitted by applicable law.
- You are responsible for any applicable taxes, including GST/HST or other sales taxes, unless expressly stated otherwise in writing.
- We may suspend work or withhold deliverables if payment is overdue, subject to applicable law and any written agreement.
- Any third-party costs, disbursements, subscriptions, travel, or administrative expenses incurred in connection with the services are payable by you if approved in advance or included in the agreed scope.
5. Cancellation and Refund Policy
Unless otherwise required by law or expressly stated in a written agreement:
- You may cancel a scheduled service by providing written notice to Ridge Advisory Inc. at least 5 business days before the scheduled start date to avoid cancellation charges.
- If you cancel after work has begun, you remain responsible for fees for all services performed, as well as any non-cancellable expenses incurred up to the date of cancellation.
- Prepaid fees, retainers, or deposits are generally non-refundable to the extent they cover time reserved, planning, administrative work, or services already performed.
- If we cancel services without cause before work is completed, we may at our discretion issue a pro-rated refund for any unearned prepaid fees.
- Refund requests must be made in writing and will be reviewed based on the specific engagement, applicable law, and the work completed.
6. Liability Limitations
To the maximum extent permitted by applicable Canadian law, Ridge Advisory Inc., its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or loss of data, arising out of or relating to your use of our website or services.
To the maximum extent permitted by law, our total aggregate liability arising from or relating to the services or these Terms shall not exceed the amount paid by you to Ridge Advisory Inc. for the specific service giving rise to the claim during the 3 months preceding the event giving rise to liability.
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for fraud, wilful misconduct, or any other liability that cannot be excluded under applicable law.
Consulting services are provided on an informational and advisory basis only and do not constitute legal, financial, tax, accounting, or other regulated professional services unless expressly agreed in writing and provided by an appropriately qualified professional where required.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all intellectual property rights in the website, templates, methodologies, processes, tools, know-how, designs, text, graphics, logos, reports, and other materials created or provided by Ridge Advisory Inc. remain the exclusive property of Ridge Advisory Inc. or its licensors.
- Subject to full payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use deliverables solely for your internal business purposes unless otherwise specified in a written agreement.
- You may not copy, distribute, modify, publish, sublicense, sell, or commercially exploit our materials except as expressly permitted in writing.
- You retain ownership of materials you provide to us, subject to any rights you grant us as needed to perform the services.
- By providing content or materials to us, you represent that you have the necessary rights and permissions to do so.
8. Data Protection and Privacy
Ridge Advisory Inc. may collect, use, disclose, and store personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.
We may use personal information to:
- provide and manage our services;
- communicate with you regarding your account, projects, invoices, and support;
- improve our website, services, and customer experience;
- comply with legal and regulatory obligations; and
- prevent fraud, misuse, and unauthorized activity.

Ridge Advisory Inc. shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labour disputes, power outages, internet failures, governmental actions, or failures of third-party service providers.
In the event of a force majeure occurrence, the affected obligations will be suspended for the duration of the event, and we will use commercially reasonable efforts to resume performance as soon as practicable.
10. Changes to Terms
We may update or revise these Terms from time to time at our discretion. Any changes will be effective when posted on our website or otherwise communicated to you, unless a later effective date is stated.
Your continued use of our website or services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our website and services.
11. Applicable Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the website, or the services, subject to any mandatory consumer protection rights under applicable law.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be interpreted to reflect the original intent of the parties as closely as possible and the remaining provisions shall continue in full force and effect.
If any invalid or unenforceable provision cannot be reformed, it shall be severed from these Terms, and the remainder of the Terms shall remain valid and enforceable to the fullest extent permitted by law.
